
1. Purpose
This Agreement is made up of:
1.1 the Event Summary Form (an email between the Venue and the Thursday host); and
1.2 the Terms and Conditions
(together the “Agreement”)
The Agreement sets out the terms under which Thursday (Honeypot Dating Ltd) (“Thursday”) partners with the Restaurant to host singles events. If there is any conflict or ambiguity between the terms of the documents listed in paragraph 1 above, a term contained in a document higher in the list shall have priority over one contained in a document lower in the list.
The Restaurant provides space and services, and Thursday provides marketing, ticketing, and attendee management.
2. Responsibilities of the Restaurant
The Restaurant agrees to:
- Provide the agreed areas and services as set out in the Event Summary Email.
- Perform the services with the highest level of care, skill and diligence in accordance with best practice in the Restaurant industry.
- Maintain all necessary licenses they need for the purposes of running their business and therefore permits, and insurances for hosting the Event.
- Obtain and at all times maintain, for the duration of this Agreement, all necessary licences and consents and comply with all applicable laws and health and safety regulations relevant to the services.
- Take full responsibility for the health and safety of all guests on the premises at all times.
- Permit filming and photography for Thursday’s marketing and promotional purposes.- Notify Thursday immediately of any material changes affecting the Restaurant’s ability to host the Event.
- Ensure and confirm that all staff have read and understood the Thursday training guide, which will be sent to you via email prior to the first Event, and which sets out the requirements for delivery.
- Ensure the restaurant delivers the dinner in accordance with the Thursday training guide.
- Agree to collaborate with Thursday to deliver a high-quality guest experience. This includes providing regular feedback to help us improve our service and enhance the partnership.
- Include a “surprise and delight” at each Event, such as a welcome drink or coffee at the end of the night, or a small dessert or sharing platter.
- Maintain sole responsibility for collecting payment from guests.
3. Responsibilities of Thursday
Thursday agrees to:
- Promote and market the Event via Thursday’s platform and marketing channels.
- Prominently display at the entry of the event a clear notice or waiver stating that filming and photography may take place during the event and ensure guests’ attention is drawn to this notice upon entry.
- Manage guest ticketing through Thursday’s app or approved system.
- Permit only Thursday ticket holders to attend the Event.
- Supply any agreed event materials (e.g. DJs, signage, decorations).
- Work collaboratively with the Restaurant to ensure smooth event delivery.
4. Cancellation
Once an Event is confirmed by the Restaurant, cancellation by the Restaurant will incur a fee equal to 50% of the Projected Ticket Sales Revenue for that Event unless they give at least 10 days’ notice. For the purposes of this clause, “Projected Ticket Sales Revenue” shall mean the capacity of the event as provided by the venue multiplied by the lowest ticket price listed for that Event. This fee is charged because significant costs are incurred prior to the Event, including advertising and marketing spend/ activities to promote the Event and secure ticket sales.
Thursday reserves the right to amend or cancel table reservations with the Restaurant at least 12 hours before the Event start time. No cancellation fees will be incurred by either party in such cases.
5. Liability and Indemnity
- The Restaurant is solely responsible for the operation and management of the Restaurant at all times, including all staff, security, health and safety, cleaning, facilities and any other on-site obligations.
- The Restaurant is responsible for the customer experience on-site in the same way it is during its usual business operations.
- Thursday guests agree to follow the Thursdays Dinner Code. For the avoidance of doubt, Thursday is not liable for the acts, omissions or behaviour of any guest at the Restaurant’s premises, including any damage to the Restaurant, its property, employees, contractors or other guests.
- The Restaurant remains fully liable to customers and third parties as it would during its normal trading hours. Thursday shall not be liable for any claims, damages, or losses arising from dietary requirements, food allergies, or other food or drink related incidents occurring at the Restaurant’s premises. The Restaurant is solely responsible for managing and communicating all dietary and allergen information to guests and for ensuring compliance with applicable food safety laws and regulations.
-Thursday is responsible for the marketing and promotion of the Event, the sale of tickets and for handling any disputes relating to ticket sales. Thursday has no responsibility for on-site operations or for the conduct or supervision of any individual while on the Restaurant’s premises.
- In the event of an incident at the Restaurant, Thursday will provide reasonable cooperation or assistance where possible, but the Restaurant remains solely responsible for managing the incident and all related liabilities, as it would during normal operations.
- Neither Party is liable for the indirect or consequential loss of the other party.
- Each Party shall maintain appropriate insurance coverage relevant to its obligations under this Agreement.
- Nothing in this Agreement limits any Party’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot legally be limited.
6. Data Protection
Each Party shall, at its own expense, ensure that it complies with applicable data protection and privacy laws in force from time to time in their jurisdiction, including the UK GDPR and the Data Protection Act 2018 (for UK Partners), in relation to any personal data shared or processed under this Agreement.
7. Force Majeure
Neither Party shall be liable for failure to perform its obligations due to events beyond reasonable control, including but not limited to strikes, natural disasters, government restrictions, or acts of terrorism.
8. General Terms
- Confidentiality: Both Parties agree to keep commercially sensitive information confidential. Each party undertakes that it shall not at any time disclose to any person any confidential information concerning the business, assets, affairs, customers, clients or suppliers of the other party or of any member of the group to which the other party belongs, except as permitted by law, required by a competent authority, or with the prior written consent of the other party.
- Entire Agreement: This Agreements constitutes the entire understanding between the Parties and supersedes all prior discussions or agreements.
- Variation: any changes to this Agreement must be agreed in writing and signed by both Parties.
- Severability: If any provision is found to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
- Third Party Rights: No third party shall have any rights to enforce any term of this Agreement under the Contracts (Rights of Third Parties) Act 1999.
- Governing Law and Jurisdiction: Whilst the Restaurant will be operating under local laws and regulations for the purposes of the Event, in the event of a dispute, this Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
